TERMS OF SERVICE

1. Agreement to These Terms

These Terms of Service govern your access to and use of localsecurityexpert.com, including the purchase and use of the Security Proposal Review service and any related website features, reports, communications, or services.

Local Security Expert is a service operated by Max Optical LLC, a Pennsylvania limited liability company. In these Terms, “Local Security Expert,” “we,” “us,” and “our” refer to Max Optical LLC operating under the Local Security Expert brand.

By visiting the website, creating an account, submitting documents, placing an order, clicking a button indicating acceptance, or using the service, you agree to these Terms of Service, the Privacy Policy, the Refund Policy, and any service-specific terms displayed on the product page or order confirmation.

If you do not agree to these Terms, do not purchase or use the service.

2. Eligibility and Authority

You must be at least 18 years old and legally capable of entering into a binding agreement to use the service.

If you purchase or use the service on behalf of a business, property owner, organization, association, government entity, or other legal entity, you represent that you have authority to bind that entity to these Terms.

The service is currently intended for customers located in the United States unless we agree otherwise in writing.

3. Description of the Service

Local Security Expert provides a document-based, buyer-side review of professionally prepared video surveillance or physical security proposals.

Depending on the supplied documentation, the review may address:

  • Proposal completeness
  • Camera application and placement assumptions
  • Camera type and resolution
  • Recording architecture
  • Storage and retention assumptions
  • Network considerations
  • Licensing and recurring costs
  • Cloud or subscription dependencies
  • System architecture and remote access
  • Cybersecurity considerations when documented
  • Warranty and support terms
  • Scalability
  • Operational fit
  • Items requiring clarification before signing

The service is intended to help customers understand what the proposal documents state, what appears unclear or incomplete, and what questions should be addressed with the proposal provider.

4. Fixed-Scope Document Review

The standard Security Proposal Review is a fixed-scope document review.

Unless otherwise agreed in writing, one purchase applies to:

  • One proposed security project
  • One primary proposal package
  • One customer or purchasing organization
  • One project location or a reasonably related group of documents for the same project
  • One written review report

Multiple competing proposals, multi-location portfolios, unusually large document packages, substantial redesign requests, or materials outside the ordinary scope may require an additional fee or a separate engagement.

If the submitted materials materially exceed the purchased scope, we may:

  • Request additional payment
  • Limit the review to the purchased scope
  • Ask the customer to identify priority documents
  • Decline the engagement and issue an applicable refund
  • Propose a separate written scope

No additional work will be charged without the customer’s authorization.

5. Document-Based Service Only

The standard service is performed remotely using the documents and information supplied by the customer.

Unless expressly stated in a separate written agreement, the service does not include:

  • A site visit
  • Field verification
  • Physical testing
  • Camera image-quality testing
  • Network testing
  • Cybersecurity testing
  • Penetration testing
  • Inspection of installed equipment
  • Verification of cable routes or field conditions
  • Interviews with the proposal provider
  • Project management
  • Installation supervision
  • Commissioning
  • Acceptance testing

Observations concerning placement, coverage, performance, or operational fit are based on the information supplied and may change if actual site conditions differ.

6. Information and Documents Supplied by the Customer

The customer is responsible for providing complete, accurate, legible, and current information reasonably necessary to perform the review.

Submitted materials may include:

  • Proposals and quotations
  • Equipment lists
  • Camera schedules
  • Floor plans
  • Site drawings
  • Statements of work
  • Storage calculations
  • Licensing information
  • Warranty descriptions
  • Recurring-cost schedules
  • Network diagrams
  • Photographs
  • Relevant customer requirements

The quality and completeness of the review depend on the quality and completeness of the submitted information.

If information is missing, unclear, contradictory, outdated, or illegible, we may identify that limitation in the report, request clarification, pause the review, or complete the review using the available documentation.

7. Authority to Submit Documents

By uploading, emailing, or otherwise providing documents, you represent and warrant that:

  • You own the documents or have authority to provide them for review
  • Their submission does not violate a confidentiality obligation, contract, law, regulation, court order, or third-party right
  • You are authorized to request analysis of the project
  • The documents do not contain information that you are prohibited from disclosing

Local Security Expert does not determine whether you have authority to disclose a document before accepting it.

You remain responsible for obtaining any necessary permission from property owners, employers, proposal providers, consultants, integrators, manufacturers, contractors, or other parties.

8. Information That Must Not Be Submitted

Do not submit information that is unnecessary for the review, including:

  • Passwords
  • Usernames or authentication credentials
  • Alarm codes
  • Door, gate, safe, or lock codes
  • Private encryption keys
  • Complete payment-card information
  • Social Security numbers
  • Medical records or protected health information
  • Biometric templates
  • Government-classified information
  • Controlled unclassified information
  • Export-controlled or ITAR-controlled information
  • Criminal justice information
  • Information restricted by a nondisclosure agreement that does not permit this review
  • Malware, malicious files, or executable code

Customers should redact sensitive operational details that are not necessary for the review.

We may delete, reject, quarantine, or decline to process prohibited or unnecessarily sensitive information.

9. Customer Responsibilities

The customer remains responsible for:

  • Defining the project requirements
  • Reviewing the proposal and our report
  • Asking the proposal provider for clarification
  • Confirming final equipment, quantities, and locations
  • Confirming licensing and recurring costs
  • Confirming storage and retention requirements
  • Confirming compatibility and integration requirements
  • Confirming warranty and support terms
  • Obtaining appropriate engineering, legal, code, insurance, and regulatory advice
  • Making the final purchasing and contracting decision
  • Verifying changes made after our report is delivered

The report should be considered one source of information and should not be the sole basis for a security, purchasing, legal, compliance, insurance, or operational decision.

10. No System Design or Engineering Services

Local Security Expert does not provide engineering services, architectural services, professional design certification, stamped drawings, code-compliance certification, or system-performance certification.

The service does not replace services that must be performed by a licensed engineer, architect, attorney, code official, insurance professional, cybersecurity professional, or other qualified specialist.

Any discussion of camera application, placement, resolution, storage, architecture, networking, or system operation is provided solely as part of the proposal review and not as a certified design.

11. No Legal, Insurance, or Regulatory Advice

The service does not provide:

  • Legal advice
  • Contract interpretation by an attorney
  • Insurance advice
  • Coverage determinations
  • Code-compliance certification
  • Regulatory certification
  • Licensing-law advice
  • Procurement-law advice
  • Engineering approval
  • Accessibility certification
  • Life-safety approval

Customers should consult appropriately qualified professionals concerning those matters.

12. No Guarantee of Security or Crime Prevention

No security system can eliminate all risk.

Local Security Expert does not guarantee that:

  • A proposed system will prevent crime
  • A proposed system will detect every incident
  • Cameras will capture identifiable images in every condition
  • Recordings will always be available
  • Analytics will detect every applicable event
  • Remote access will always function
  • A system will satisfy law enforcement, insurance, evidentiary, or operational expectations
  • The project will be completed on time or within budget
  • The proposal provider will accept or implement recommendations

The report evaluates supplied documentation. It is not a guarantee of actual system performance.

13. No Guarantee of Savings or Pricing Outcome

The service does not guarantee that the customer will save money, obtain a lower price, negotiate different terms, or avoid future expenses.

A higher proposal price does not automatically indicate overpricing. Pricing can reflect equipment, labor, licensing, support, warranty, project risk, site conditions, insurance, scheduling, training, and other factors that may not be fully documented.

The review may identify pricing items or recurring costs that require clarification, but it is not a certified appraisal, audit, bid validation, or market-pricing guarantee.

14. Third-Party Information and Product Specifications

The report may refer to information supplied by manufacturers, integrators, distributors, software providers, cloud providers, proposal providers, or other third parties.

Product capabilities, compatibility, licensing, pricing, availability, cybersecurity features, warranty terms, subscriptions, software versions, and technical specifications may change.

We do not warrant the accuracy or completeness of third-party information. When a material item cannot be independently verified from reasonably available information, the report may identify it as requiring confirmation.

The customer should obtain final written confirmation from the applicable provider before signing or purchasing.

15. Timing and Delivery

Any turnaround time displayed on the website or communicated before purchase is an estimate unless expressly guaranteed in writing.

The review period begins after we receive:

  • Payment
  • A complete proposal package
  • Required customer information
  • Responses to any necessary intake questions

The estimated delivery date may be extended by:

  • Missing or incomplete information
  • Large or unusually complex submissions
  • Customer-requested changes
  • Technical problems
  • Third-party service interruptions
  • Events outside our reasonable control

Reports are generally delivered electronically to the email address associated with the order.

The customer is responsible for maintaining a working email address and checking spam, security, and quarantine folders.

16. Clarifications and Additional Work

The purchase includes only the deliverables described on the product page or order confirmation.

A request to explain a statement in the delivered report may be addressed at our discretion as a reasonable clarification.

The standard service does not include unlimited consultation, repeated revisions, project redesign, proposal rewriting, negotiation with the provider, or continuing project support.

Material changes to the proposal after delivery may require a new review or additional fee.

17. Orders and Acceptance

Submitting an order does not require us to accept an engagement.

We may decline or cancel an order when:

  • The requested work is outside the service scope
  • The materials are incomplete or prohibited
  • A potential conflict prevents an appropriate review
  • The submission creates an unreasonable security or legal risk
  • The customer misrepresents the project or their authority
  • The requested use is unlawful or abusive
  • We are unable to complete the service

If we decline an order before substantive work begins, we will issue an applicable refund to the original payment method.

18. Pricing, Payment, and Taxes

The price shown at checkout at the time of purchase controls.

Payment is due in full before work begins unless a separate written arrangement states otherwise.

Applicable taxes may be added where required.

Payments are processed through Shopify and its payment providers. We generally do not receive or store complete payment-card numbers.

The customer is responsible for providing current and accurate billing information.

19. Cancellations and Refunds

A customer may request cancellation before substantive review work begins.

Once document review or report preparation has begun, the service fee is nonrefundable, except:

  • Where required by applicable law
  • Where we are unable to complete the purchased service
  • Where we approve a refund in our discretion
  • As otherwise stated in the posted Refund Policy

Failure to provide requested documents or information does not automatically create a right to a refund after work has begun.

If the customer does not provide the information needed to perform the service within 30 days after our request, we may close the engagement. Any refund will be determined under the posted Refund Policy and applicable law.

Refunds, when approved, are issued to the original payment method.

20. Payment Disputes and Chargebacks

Customers should contact us promptly concerning a billing or service concern before initiating a chargeback.

We reserve the right to provide the payment processor with relevant order records, communications, delivery records, reports, submitted materials, and evidence that the service was authorized or performed.

Nothing in this section limits a customer’s lawful rights concerning unauthorized or improper charges.

21. Confidentiality and Handling of Project Documents

We will use reasonable care to limit access to submitted project documents and to use them for purposes connected with providing the service, maintaining records, resolving disputes, preventing misuse, and complying with legal obligations.

The standard service does not create a separately negotiated nondisclosure agreement.

Customers requiring specific confidentiality terms, data-handling standards, cybersecurity controls, contractual flow-down requirements, or regulatory obligations must obtain our written agreement before submitting documents.

Email, cloud storage, file-transfer systems, and online services cannot be guaranteed completely secure. Customers should avoid submitting unnecessary sensitive information.

Document handling and retention are further described in the Privacy Policy.

22. Software, Automation, and AI-Assisted Tools

We may use software, automation, document-processing tools, and AI-assisted tools to organize information, compare documents, perform calculations, identify inconsistencies, conduct research, and assist in preparing a draft report.

These tools do not replace professional judgment. The final deliverable is subject to human review before delivery.

Third-party technology providers may process information as described in our Privacy Policy and their applicable terms.

Customers who require restrictions on particular technology providers, processing locations, or AI-assisted tools must obtain written agreement before submitting documents.

23. Customer Documents and License to Perform the Service

The customer retains any ownership rights they have in the documents they submit.

The customer grants Local Security Expert a limited, nonexclusive, worldwide, royalty-free license to:

  • Receive and store the documents
  • Open and reproduce working copies
  • Analyze and annotate them
  • Use relevant information to prepare the report
  • Share them with authorized service providers as reasonably necessary to perform the service
  • Retain records as described in the Privacy Policy

This license ends when the documents are deleted, except for copies reasonably retained for legal, accounting, backup, security, or dispute-resolution purposes.

24. Ownership and Use of the Report

Local Security Expert retains ownership of its:

  • Review methodology
  • Templates
  • Report structure
  • Checklists
  • Explanatory materials
  • Standard language
  • Branding
  • Website content
  • Internal tools and processes

After full payment, the customer receives a nonexclusive license to use the completed report for the customer’s internal evaluation of the applicable project.

The customer may share the report with:

  • Its employees
  • Property owners
  • Board members
  • Legal and professional advisers
  • The proposal provider
  • Other parties directly involved in evaluating the project

The report may not be:

  • Resold
  • Published publicly
  • Used to create a competing review service
  • Used as training material for a commercial service
  • Altered to misrepresent our findings
  • Presented as an engineering certification or legal opinion
  • Used for an unrelated project without written permission

25. Website Content and Intellectual Property

The Local Security Expert name, logos, graphics, report templates, website content, photographs, design elements, text, and other materials are owned by or licensed to Local Security Expert and are protected by applicable intellectual-property laws.

You may not copy, reproduce, modify, distribute, sell, scrape, republish, or commercially exploit website content without written permission, except for ordinary personal or internal business use connected with evaluating or purchasing the service.

26. Acceptable Use

You may not use the website or service to:

  • Violate a law or regulation
  • Infringe a third-party right
  • Submit documents without authorization
  • Upload malicious software
  • Attempt unauthorized access
  • Interfere with website operation
  • Circumvent security controls
  • Impersonate another person or entity
  • Submit false or misleading information
  • Harass or threaten any person
  • Use the service to facilitate unlawful surveillance or discrimination
  • Reverse engineer or commercially replicate the service
  • Scrape or systematically collect website content
  • Use a delivered report in a misleading manner

We may suspend or terminate access for suspected misuse.

27. Customer Accounts

If customer accounts are available, you are responsible for:

  • Maintaining the confidentiality of login credentials
  • Using accurate account information
  • Restricting access to authorized persons
  • Promptly notifying us of suspected unauthorized activity
  • Keeping contact information current

You are responsible for activity conducted through your account unless prohibited by law.

28. Third-Party Platforms and Links

The website may use or link to third-party services, including Shopify, payment providers, email services, file-transfer services, analytics providers, and external websites.

We do not control and are not responsible for the availability, content, security, terms, or privacy practices of third-party services.

Use of a third-party service may be subject to separate terms between the customer and that provider.

29. Disclaimer of Warranties

We will perform the purchased service in a commercially reasonable manner based on the information supplied and the defined scope.

To the maximum extent permitted by law, all other express or implied warranties are disclaimed, including implied warranties of merchantability, fitness for a particular purpose, title, noninfringement, accuracy, completeness, and uninterrupted availability.

We do not warrant that:

  • Every potential issue will be identified
  • Every observation will apply after project changes
  • Third-party information is accurate
  • The website will be uninterrupted or error-free
  • Files or communications will always be delivered without delay
  • The customer will obtain a particular business result

Some jurisdictions do not permit certain warranty exclusions. Those exclusions apply only to the extent legally permitted.

30. Limitation of Liability

To the maximum extent permitted by law, Local Security Expert and Max Optical LLC will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including:

  • Lost profits
  • Lost revenue
  • Loss of business opportunity
  • Loss of data
  • Business interruption
  • Project delays
  • Cost overruns
  • Security incidents
  • Property loss
  • Personal injury caused by third parties
  • Failure of equipment or services supplied by others
  • Decisions made by the customer or proposal provider

To the maximum extent permitted by law, the total aggregate liability of Local Security Expert and Max Optical LLC arising from a particular service will not exceed the amount the customer paid for that service.

This limitation applies regardless of the legal theory asserted, but does not exclude liability that cannot lawfully be excluded or limited.

31. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Local Security Expert, Max Optical LLC, and their service providers from claims, damages, liabilities, costs, and reasonable legal fees arising from:

  • Documents you submitted without authority
  • Your violation of these Terms
  • Your violation of law
  • Your infringement of a third-party right
  • Your misuse or misrepresentation of the report
  • False or misleading information you supplied
  • Your use of the service for an unlawful purpose

We will provide reasonable notice of a covered claim and may control the defense or settlement of that claim.

32. Events Outside Our Control

We are not liable for delay or failure caused by events beyond our reasonable control, including:

  • Internet or utility outages
  • Cyberattacks
  • Cloud-provider failures
  • Payment-system interruptions
  • Natural disasters
  • Fire
  • Severe weather
  • Government action
  • Labor disruption
  • Public-health emergencies
  • Illness or incapacity
  • Failure of third-party services

We will use reasonable efforts to resume performance when practical.

33. Suspension and Termination

We may suspend or terminate access to the website or service when we reasonably believe:

  • These Terms have been violated
  • Payment is disputed or reversed
  • Documents were submitted without authority
  • The customer creates a security, legal, or operational risk
  • The customer engages in abusive or fraudulent conduct
  • Continued performance would be unlawful or inappropriate

Termination does not affect rights or obligations that arose before termination.

34. Informal Dispute Resolution

Before filing a lawsuit concerning the service, the parties agree to make a good-faith effort to resolve the dispute informally.

The complaining party should send written notice describing:

  • The customer and order
  • The nature of the dispute
  • The relevant facts
  • The requested resolution

The parties will allow at least 30 days after receipt of the notice to attempt resolution, unless immediate legal action is necessary to prevent serious harm or preserve a legal right.

35. Governing Law and Venue

These Terms and any dispute concerning the website or service are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law principles.

To the extent permitted by law, legal proceedings must be brought in a state or federal court with jurisdiction over Chester County, Pennsylvania.

Nothing in this section eliminates any non-waivable consumer right or right to bring an eligible claim in small-claims court.

36. Electronic Communications and Acceptance

You consent to receive order confirmations, notices, disclosures, reports, and other communications electronically.

Electronic acceptance, electronic records, and electronic communications may be used to form and document the agreement.

You are responsible for maintaining a valid email address and retaining copies of communications and reports that you wish to keep.

37. Changes to These Terms

We may update these Terms to reflect changes in the service, website, law, technology, or business practices.

Updated Terms will be posted with a revised effective date.

Unless required by law or agreed otherwise, an order is generally governed by the Terms in effect when the order was placed.

Continued use of the website after revised Terms become effective constitutes acceptance of the revised Terms for future use.

38. Assignment

You may not transfer or assign your rights under these Terms without our written consent.

We may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, financing, or transfer of the business or service.

39. Severability

If any provision of these Terms is found invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent permitted or removed to the minimum extent necessary.

The remaining provisions will remain in effect.

40. No Waiver

Failure to enforce a provision of these Terms does not waive the right to enforce it later.

A waiver is effective only when made in writing by an authorized representative.

41. Entire Agreement

These Terms, together with the applicable product page, order confirmation, Privacy Policy, Refund Policy, and any written service-specific agreement, constitute the entire agreement concerning the purchased service.

If a separately signed written agreement conflicts with these Terms, the separately signed agreement controls for that engagement.

42. Survival

Provisions that by their nature should continue after completion or termination will survive, including provisions concerning payment, confidentiality, ownership, permitted use, disclaimers, liability, indemnification, disputes, and governing law.
